Plaintiff in this action, Upper Lakes Shipping, Ltd., hereinafter referred to as Upper Lakes, is a Canadian corporation with situs in Toronto, Ontario, Canada. The defendant, Seafarers International Union of Canada, hereinafter referred to as SIU, is a Canadian maritime union affiliated with the AFL-CIO. For ten years prior to April of 1962 the plaintiff and SIU had a series of collective bargaining agreements. The agreements were in force during the shipping season. The term of the last contract between Upper Lakes and SIU extended until the completion of lay-up in 1961. During this period of time the SIU furnished the plaintiffs ships with crew members.
